These Terms govern your purchase and use of the MultiRec software and related services (together, the "Software") provided by Nightlab AB, org.nr 559375-2180, Drömgatan 1, 244 45 Kävlinge, Sweden ("Nightlab", "we", "us"). By installing, activating or using the Software, you agree to these Terms. If you do not agree, do not install or use the Software.
Subject to these Terms and payment of the applicable fees, Nightlab grants you a non-exclusive, non-transferable license to install and use the Software for the tier you purchased (which determines the maximum number of simultaneous inputs):
You may not: copy (except for reasonable backup), distribute, resell, sublicense or rent out the Software; circumvent, disable or tamper with licensing, activation or the machine fingerprint; reverse engineer, decompile or disassemble the Software except to the extent expressly permitted by mandatory law; or remove any proprietary notices.
The Software is licensed, not sold. Nightlab and its licensors retain all intellectual property rights in the Software. You retain all rights to the recordings and other content you create with it.
The Software incorporates or interoperates with third-party components, including the Blackmagic DeckLink SDK, NDI® technology (a trademark of Vizrt/NewTek), FFmpeg, and the Qt framework. These components are subject to their own licenses (FFmpeg components are used under the LGPL/GPL as applicable); the corresponding notices and offers of source are available on request.
Prices are shown in EUR and exclude VAT unless stated. VAT is added where applicable; the EU reverse-charge mechanism is applied to valid VAT-registered business customers in the EU who provide a valid VAT ID. Where you are a consumer with a statutory right of withdrawal for digital content, you acknowledge that by downloading and starting to use the Software you request immediate performance and may thereby waive that right to the extent permitted by law. Discretionary refunds, where granted, are processed to the original payment method.
MultiRec is a recording tool, not a guarantee that any recording will succeed, be complete, be usable, or be recoverable. Recording depends on many factors outside our control — your hardware, capture devices, drivers, storage speed and capacity, available power and cooling, the operating system, third-party software, network conditions and the input signals themselves.
To the maximum extent permitted by law, Nightlab is not responsible or liable for any failed, interrupted, incomplete, corrupted, lost or unrecoverable recordings, for missed or unrepeatable events, or for any lost footage or data, however caused.
You are responsible for testing the Software in your own environment before relying on it, for providing adequate hardware, storage and monitoring, and for maintaining independent and/or redundant recording and backups for any important or irreplaceable event. Do not use the Software as your sole means of capturing anything you cannot afford to lose.
The Software is provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, accuracy, or non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or that defects will be corrected.
To the maximum extent permitted by law, Nightlab and its suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, goodwill, data, footage or recordings, or business interruption, arising out of or relating to the Software, even if advised of the possibility of such damages.
Nightlab's total aggregate liability arising out of or relating to the Software will not exceed the amount you paid to Nightlab for the Software in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for gross negligence or wilful misconduct — and, if you are a consumer, nothing in these Terms affects your mandatory statutory rights.
You are responsible for using the Software lawfully, for the recordings you make and the consents required for them, for securing your licenses and activation codes, and for keeping your systems and data backed up.
We may release updates, and may change, suspend or discontinue features. We may update these Terms; the "Last updated" date reflects the current version and continued use after a change constitutes acceptance of the updated Terms.
These Terms apply for as long as you use the Software. The license terminates automatically if you materially breach these Terms; rental licenses also end at the end of their term. On termination you must stop using and remove the Software. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability and governing law) survive termination.
These Terms are governed by the laws of Sweden, without regard to conflict-of-law rules. The courts of Sweden have jurisdiction, except that mandatory consumer-protection rules of your country of residence continue to apply to you if you are a consumer.
